Please read these Terms of Service (“Terms”) carefully before using the Sportly platform and services (“Service”) operated by Sportly Africa (“us,” “we,” or “our”).

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Sportly provides a cloud-based sports management software-as-a-service (SaaS) including, but not limited to, league administration, team management, registration processing, fixture generation, and sports data analytics.

3. Account Terms

  • Registration: You must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.
  • Security: You are responsible for safeguarding your password and for any activities or actions under your account.
  • Age: You must be at least 13 years old. If you are under 18, you must have the consent of a parent or guardian.
  • Restrictions: You may not use the Service for any illegal purpose or to violate any laws in your jurisdiction.

4. Organization and League Administration

If you create an organization or league on Sportly:

  • You represent that you have the legal authority to manage that organization.
  • You are responsible for the data of the players and teams you invite.
  • You agree to handle registration fees and refunds in accordance with applicable consumer protection laws.

5. Payments, Subscriptions, and Refunds

  • Fees: Access to certain features requires payment of fees (Subscriptions or Registration Fees).
  • Billing: Subscriptions are billed on a recurring basis (monthly or annually) and are non-refundable except as required by law.
  • Cancellation: You may cancel your subscription at any time; however, you will retain access until the end of the current billing cycle.
  • Taxes: All fees are exclusive of taxes unless stated otherwise.

6. User Content and Conduct

  • Your Content: You retain ownership of any data, text, photos, or videos you upload (“User Content”).
  • License: You grant Sportly a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display your content solely for the purpose of operating and improving the Service.
  • Prohibited Conduct: You agree not to:
    • Upload malicious code or viruses.
    • Harass, abuse, or harm other users.
    • Falsify sports statistics or match results.
    • Scrape or crawl the Service without permission.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Sportly and its licensors. Our trademarks and trade dress may not be used without our prior written consent.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPORTLY SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, or consequential damages.
  • Loss of profits, data, use, or goodwill.
  • Any physical injury, health issues, or accidents occurring during sports activities, matches, or training sessions organized or managed through the platform.
  • Errors or inaccuracies in sports data, fixtures, or league standings.

9. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SPORTLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sportly and its employees, contractors, and officers from any claims, damages, obligations, or losses arising from your use of the Service or your violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation or binding arbitration in Lagos, Nigeria.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect.
